Company: Cue Home Innovation Labs Pvt. Ltd.
("Cue Home", "Cue Desk", "we", "our", "us")
IMPORTANT: THIS AGREEMENT GOVERNS YOUR ACCESS TO AND USE OF THE CUE DESK PLATFORM. BY CREATING AN ACCOUNT, LOGGING IN, OR USING CUE DESK IN ANY CAPACITY, YOU AGREE TO THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.
1. LICENSE GRANT
Cue Home grants you a limited, non-exclusive, non-transferable, revocable license to use Cue Desk solely for the purposes of planning, managing, configuring, and supporting smart home projects and services on behalf of your clients as a Cue Partner, Installer, or System Integrator.
Cue Desk is offered as a cloud-based B2B platform and may include both web and device-based interfaces.
2. ELIGIBILITY
Cue Desk is intended exclusively for trained professionals and registered partners. By using the platform, you represent that:
You are authorized to act on behalf of a business or organization.
You have completed Cue's training or intend to do so, onboarding, or received provisional access pending full partner verification.
You understand and agree to comply with Cue Home's partner guidelines and professional standards.
3. PARTNER-SPECIFIC TERMS
By using Cue Desk, you agree to:
Accurately represent Cue’s products and services to customers.
Respect the brand integrity of Cue Home, Cue Desk, and associated third-party technologies (e.g., Home Assistant, Apple Home).
Not misuse or resell access to Cue Desk or its tools for unauthorized purposes or non-Cue projects.
Maintain confidentiality for all project plans, user data, pricing tools, design workflows, and system specifications.
4. DATA ACCESS & OWNERSHIP
All data entered into Cue Desk (e.g., project configurations, customer site details, smart home device metadata) is considered confidential and owned by the respective user or partner who inputs it.
Cue Home reserves the right to anonymize and aggregate usage data to improve the platform, build insights, or enhance partner tools. No personally identifiable information will be used without consent.
You are responsible for ensuring you have the customer’s consent before inputting their data into Cue Desk.
5. OPEN SOURCE USAGE
Cue Desk may integrate with open-source technologies including but not limited to Home Assistant. We comply fully with all relevant licenses (Apache 2.0, MIT, GPLv3) and provide appropriate attribution on our website and within the app. Cue Desk strives to comply with all applicable licensing terms. If any potential infringement is identified, please notify us at legal@cuehome.in so we can promptly investigate and resolve the matter. Please contact us at legal@cuehome.in if you identify any compliance concerns.
6. RESTRICTIONS
You agree not to:
Modify, reverse-engineer, copy, or create derivative works from Cue Desk or its UI/UX flows.
Use Cue Desk for non-approved commercial purposes.
Share access credentials outside your organization without permission.
Interfere with the operation or integrity of the platform.
7. INTELLECTUAL PROPERTY
All proprietary technology, workflows, designs, product planning templates, and partner enablement tools within Cue Desk are the intellectual property of Cue Home Innovation Labs Pvt. Ltd. This agreement does not transfer any ownership rights, and Cue Desk is licensed, not sold.
Trademarks, brand materials, and partner badges may only be used with written authorization and must comply with our brand guidelines.
8. TERMINATION
Cue Home may suspend or terminate your access to Cue Desk if you:
Violate this EULA or partner guidelines.
Engage in unethical practices that damage the brand.
Fail to maintain required training, certification, or minimum engagement thresholds.
Upon termination, you must cease all use of Cue Desk and delete any local files or caches obtained from the platform.
9. WARRANTY DISCLAIMER
CUE DESK IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CUE HOME DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. LIMITATION OF LIABILITY
IN NO EVENT SHALL CUE HOME BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA OR BUSINESS INTERRUPTION) ARISING OUT OF YOUR USE OF OR INABILITY TO USE CUE DESK.
11. GOVERNING LAW
This EULA is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
